Convertible bond offering of up to approximately USD 300 million due 2024

BW OFFSHORE LIMITED - CONVERTIBLE BOND OFFERING OF UP TO APPROXIMATELY USD 300 MILLION DUE 2024

BW Offshore Limited (the "Company" or “BW Offshore”) announces today the launch of an offering (the “Offering”) of senior unsecured bonds due 2024 (the "Bonds") convertible into new and/or existing interests in common shares (the “Shares”) of the Company with a base size of USD 250 million which may be increased at or prior to pricing to up to approximately USD 300 million at the Company’s option.

BW Offshore is separately releasing a statement today detailing preliminary operational and financial performance for the third quarter of 2019.

The Bonds will bear interest at a fixed coupon, within a range of between 2.00% and 2.50% per annum payable semi-annually in arrear in equal instalments.

The initial conversion price will be set at a premium of between 35% and 40% over the volume weighted average price of a Share on the Oslo Stock Exchange (converted at the prevailing USD:NOK spot rate at closing of trading today) between opening and closing of trading today.

The Bonds will be issued and redeemed at 100% of their principal amount of USD 200,000 and will, unless previously redeemed, converted or purchased and cancelled, mature on 12 November 2024.

The Bonds may, at the option of the Company, be redeemed in whole but not in part at their principal amount plus accrued but unpaid interest at any time, if less than 10% of the principal amount of the Bonds originally issued remain outstanding.

The Company’s major shareholder, BW Group Ltd, will enter into a 5-year stock lending arrangement with DNB Markets on or around the date hereof in respect of 10,000,000 Shares in aggregate (currently representing approximately 5.4% of the Company’s issued and outstanding share capital) for the purpose of facilitating investors’ hedging activities. BW Group Ltd will be entitled to recall the Shares lent under this stock lending arrangement by providing written notice to DNB Markets in certain limited circumstances.

The final terms of the Bonds are expected to be announced today.

Settlement of the Offering is expected to take place on 12 November 2019 (the “Settlement Date”).

BW Offshore will be subject to a lock-up from today and ending 90 days after the Settlement Date and BW Group Ltd will be subject to a lock-up from today and ending 30 days after the Settlement Date, in each case with respect to the Shares and equity-linked securities and subject to a waiver from the Joint Global Coordinators and certain exceptions.

The net proceeds of the Offering will be used to refinance existing debt and for general corporate purposes.

The Bonds will not initially be listed. BW Offshore may at its option list the Bonds, or have them admitted to trading, on a regulated or unregulated market after the Settlement Date.

BNP Paribas and DNB Markets are acting as Joint Global Coordinators and Joint Bookrunners of the Offering.
